ClinicOS Terms of Service

Terms for clinics, staff users, and authorized organizations that access the ClinicOS SaaS platform.

SaaS platform terms

These Terms govern access to ClinicOS by clinic customers, trial users, staff users, administrators, and other authorized users. Patient-facing portal terms are separate and are presented on the patient portal operated for each clinic.

Clinic responsibilities

  • Maintain accurate organization, billing, staff, privacy, and compliance information.
  • Configure ClinicOS only for lawful clinical, operational, billing, communications, marketing, and administrative purposes.
  • Manage staff access, permissions, offboarding, and account security.
  • Obtain patient, consumer, payment, communications, marketing, and integration consents where required.
  • Review patient-facing notices, forms, policies, and communications before using them in production.

No medical services by ClinicOS

ClinicOS provides software and operational tooling. ClinicOS does not diagnose, treat, prescribe, provide medical advice, or establish a provider-patient relationship with clinic patients. Clinical decisions remain the responsibility of licensed clinic professionals.

PHI and BAAs

If ClinicOS processes PHI for a covered entity or business associate, the parties must have an appropriate BAA or equivalent written agreement in place. The BAA controls if it conflicts with these Terms for PHI-specific processing.

Acceptable use

  • Do not upload unlawful, malicious, infringing, deceptive, or unauthorized content.
  • Do not bypass security controls, rate limits, audit logging, tenant boundaries, or access restrictions.
  • Do not use ClinicOS to send spam, unlawful marketing, or communications without required consent.
  • Do not connect third-party integrations unless authorized by the clinic and permitted by the integration provider.

Integrations and third-party services

ClinicOS may interoperate with payment processors, communications providers, accounting systems, advertising platforms, AI providers, and other third-party services. Clinics are responsible for enabling integrations lawfully, maintaining their own third-party accounts, and understanding each provider's terms.

Service availability and changes

ClinicOS may update, improve, suspend, or discontinue features as needed for security, reliability, compliance, or product development. ClinicOS will use commercially reasonable efforts to preserve customer data and minimize disruption.

Billing and subscriptions

Paid subscriptions, trials, renewals, usage charges, taxes, payment failures, and cancellation terms are governed by the applicable order form, subscription agreement, or in-product plan terms.

Limitations

To the maximum extent permitted by law, ClinicOS is provided without warranties beyond those expressly stated in the applicable agreement, and ClinicOS is not responsible for clinical decisions, clinic policy choices, third-party service outages, or customer misuse of the platform.
